These terms and conditions between the User (hereinafter referred to as "you/your/User") and Tropelet Technologies Private Limited (hereinafter referred to as "we"/"our"/"us"/"InGoodHands") set out the binding terms and conditions governing the use of InGoodHands, and its software with respect to the use of any website ("Website") or web-based interface (collectively, referred to as the "Platform") and all related services, features, content, and functionalities offered by InGoodHands, including but not limited to our medically driven scientific weight loss program.

These terms and conditions, together with the Privacy Policy, Consent Notice, which are incorporated by reference into these Terms, and any other applicable rules, policies, and legal terms posted within the Platform ("Terms"), govern your use of the Platform.

Acceptance

You indicate your acceptance of the Terms of the Platform by:

  • commencing the InGoodHands program, whereby you expressly consent to undergo diagnostic testing and medical consultations as part of the onboarding process;
  • completing the Account (as defined hereinafter) registration process;
  • accessing or using any part of the Platform, you signify your acceptance of and agreement to be bound by the Terms;
  • if you do not agree to all of these Terms, you must cease accessing or using the Platform immediately; and
  • by using the Platform, you represent and warrant that you are at least 18 (eighteen) years of age, a resident of India, and have the legal capacity to enter into a binding contract with InGoodHands under applicable law.

Services

InGoodHands provides a technology platform that offers a medically driven scientific weight loss program. Additionally, it also acts as an intermediary that facilitates contact with medical professionals, partner laboratories, and partner e-pharmacies.

The Platform is designed to support users in achieving their weight management goals and may include:

  • access to a dedicated Care Team, which may include affiliated doctors (holding an MD or equally recognised medical qualifications) and nutritionists/coaches ("Care Team");
  • personalized weekly plans, including dietary guidance (intake calorie goals, macronutrient breakdown), exercise plans (calorie burn goals, workout goals, activity goals), and habit formation strategies;
  • features for logging meals, tracking nutritional intake, monitoring progress, and daily side-effect check-ins;
  • teleconsultation services (audio, video, chat) for appointments and interactions with the Care Team;
  • facilitation of e-prescriptions for medications, including but not limited to GLP-1 agonists (e.g., semaglutide, Mounjaro) or metformin, if deemed medically appropriate by an affiliated doctor;
  • facilitation of diagnostic blood tests through partner laboratories;
  • facilitation of medication ordering and delivery through partner e-pharmacies or local pharmacies, upon your explicit consent as part of your program enrolment;
  • educational content, reminders (for water, appointments, medication, walking, logging weight/meals, etc.), and motivational support; and
  • features such as "My Metabolic Print," "My Care Circle," "My Plan," "My Progress," "My Weekly Habits," and "Your Journey".

InGoodHands as a Platform Facilitator

InGoodHands functions primarily as a technology platform and intermediary, connecting you with qualified and licensed Care Team professionals. These professionals may be employees of InGoodHands, independent contractors, or affiliated with partner organisations associated with InGoodHands.

Medical advice, diagnoses, and prescriptions provided through InGoodHands's services are delivered exclusively by independent, licensed medical doctors affiliated with InGoodHands. InGoodHands, as a corporate entity, does not practice medicine or offer medical advice, diagnoses, or treatment.

THE DOCTOR-PATIENT RELATIONSHIP IS ESTABLISHED DIRECTLY BETWEEN YOU AND THE AFFILIATED PHYSICIAN, IN ACCORDANCE WITH THE TELEMEDICINE PRACTICE GUIDELINES, 2020, AND OTHER RELEVANT MEDICAL REGULATIONS.

OTHER CARE TEAM MEMBERS, SUCH AS NUTRITIONISTS AND COACHES, OFFER GUIDANCE AND SUPPORT STRICTLY WITHIN THEIR PROFESSIONAL SCOPES AND COMPETENCIES.

InGoodHands IS NOT RESPONSIBLE FOR THE PROFESSIONAL ADVICE, ACTS, OR OMISSIONS OF ANY CARE TEAM MEMBER.

  • User-Provided Data and Symptom Reporting: InGoodHands's platform serves as a communication facilitator connecting you with healthcare professionals. You provide your health information and symptoms directly to the Care Team. The accuracy and completeness of the information depend entirely on your direct communication with the Care Team.
  • No Guarantee of Anomaly Detection or Medical Diagnosis: The Platform supports your connection to medical professionals, but should not be relied upon as your sole method for health monitoring or diagnosis. InGoodHands and the Care Team do not guarantee detection of all health issues or emergencies.
  • Service Availability and Connectivity: InGoodHands depends on third-party Care Teams and requires an internet connection. The Platform may be temporarily unavailable due to maintenance, outages, or connectivity problems.

The Platform and its services are not designed or intended for use in medical emergencies. If you are experiencing a medical emergency, you must immediately contact local emergency medical services (108 or 112 in India) or proceed directly to the nearest hospital.

Use of Platform and Access Rights

Subject to compliance with these Terms, InGoodHands grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform. The right to use the Platform does not transfer any ownership interest or title. InGoodHands reserves the right to suspend or revoke access to the Platform without notice or liability.

User Account and Eligibility

  • Account Creation: To access the Platform, you must purchase a subscription plan and create an account ("Account") via the InGoodHands Website.
  • Eligibility Criteria: You represent that you are at least 18 years of age, a resident of India, and meet the medical eligibility criteria determined during onboarding.
  • Contraindications: Certain conditions (e.g., Type 1 Diabetes, history of pancreatitis, medullary thyroid cancer, MEN 2, pregnancy, breastfeeding) may render you ineligible for specific components, including GLP-1 agonists. Final eligibility is determined solely by the affiliated doctor.
  • Accuracy of Information: You warrant to provide true, accurate, and complete information ("Registration Data"). Providing false information may lead to Account termination and poses risks to your health.
  • Account Security: You are solely responsible for maintaining the confidentiality of your Account login credentials.
  • Single Account: You may maintain only one Account for personal use.

Medically Driven Program and Prescription Medications

  • Role of Prescription Medications: The potential inclusion of medications like GLP-1 agonists or metformin is determined solely by the independent clinical judgment of an affiliated doctor. This decision will be based on your individual health profile and clinical assessment. InGoodHands does not guarantee that any medication will be prescribed.
  • Doctor's Responsibility: The prescribing doctor is exclusively responsible for providing information regarding the medication's nature, benefits, risks, side effects, and administration protocols.
  • Your Informed Consent to Doctor: You must provide explicit informed consent directly to the prescribing doctor. This process is distinct from your agreement with InGoodHands.
  • Reporting Side Effects: You agree to diligently report any adverse effects through the consultation calls with your Care Team or through the Platform's designated communication channels.
  • Medication Adherence: You retain ultimate and sole responsibility for taking medications precisely as prescribed.

Care Team and Teleconsultations

  • Teleconsultation Services: Interactions with the Care Team occur primarily through secure Platform chat, audio, and video calls.
  • Consent to Teleconsultation: By accepting these Terms, you explicitly consent to engaging in teleconsultations in compliance with the Telemedicine Practice Guidelines, 2020. You acknowledge the inherent limitations of telemedicine, such as the absence of a direct physical examination.
  • Withdrawal of Consent: You possess the right to withdraw consent at any time, though this may prevent your ability to continue the program.

Facilitation of Diagnostic Tests and Medication Orders

  • User Authorisation: You provide a revocable authorisation to InGoodHands to schedule diagnostic tests with NABL-accredited partners and place medication orders with licensed third-party e-pharmacies on your behalf.
  • Third-Party Responsibility: Laboratory and pharmacy partners are independent entities. InGoodHands acts exclusively as a facilitator and shall not be liable for the services, actions, or omissions of these third parties.

Information Provided Orally

  • Collection and Use: You acknowledge that staff or Care Team members may collect information over telephone or video calls. You consent to the use of such orally provided information.
  • User Responsibility: You are exclusively responsible for the accuracy of information shared orally. InGoodHands relies entirely on this information and shall not be held liable for outcomes resulting from incorrect oral disclosures.

Data, Privacy, and Device Integrations

  • Privacy Policy: Our Privacy Policy is an integral part of these Terms. By accepting these Terms, you provide informed consent for the collection and processing of your SPDI.
  • Device Integrations: You consent to InGoodHands accessing data from connected fitness trackers where such integration is facilitated by the Platform for program personalization.

Payments, Subscriptions, Cancellations, and Refunds

  • Subscription Fees: Access is contingent upon the purchase of a subscription plan. Fees are inclusive of GST.
  • Cancellation and Refund Policy: You may request a refund exclusively if, following your initial medical assessment, an affiliated doctor determines you are not medically eligible for the GLP-1 medication component and you elect to discontinue the entire program.
  • Refund Amount Calculation: Refund = Total Fee - Non-recoverable costs (e.g., cost of lab tests conducted and rendered initial consultations).
  • No Other Refunds: Subscription fees are otherwise non-refundable, including for partial use or dissatisfaction with results.
  • Changes to Fees: InGoodHands reserves the right to modify subscription plans or fees with reasonable advance notice.

Intellectual Property Rights

  • InGoodHands's IP: All rights to the Platform, design, algorithms (including "My Metabolic Print"), and content are the exclusive property of InGoodHands. No license is granted except for personal, non-commercial use.
  • User Content: You retain ownership of content you submit but grant InGoodHands a worldwide license to use it to operate, improve, and promote the Platform.

Prohibited Activities and Conduct

You agree not to:

  • violate any law or infringe third-party rights;
  • modify, reverse engineer, or decompile the Platform;
  • perform acts like hacking, attacking, or overloading servers;
  • upload viruses or malicious code;
  • engage in harassment or defamation of any person or Care Team member.

Intermediary Liability

InGoodHands will not be liable for any third-party information or data hosted by it. InGoodHands's role is limited to providing access to a communication system as an intermediary.

Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. InGoodHands makes no warranties regarding specific results, timelines, or health outcomes. Individual results are influenced by factors beyond our control.

Medical Disclaimers

InGoodHands is a technology platform only and does not provide medical advice. All health-related guidance (diet plans, "My Metabolic Print" results, etc.) is for informational purposes only. You must consult your primary healthcare provider before starting any program.

Limitation of Liability

InGoodHands's aggregate liability for all claims shall not exceed the greater of (i) total subscription fees paid by you to InGoodHands during the six (6) months prior to the event, or (ii) INR 1,000, whichever is lower.

Medical Emergency Disclaimer

InGoodHands IS NOT FOR MEDICAL EMERGENCIES.

If you experience any of the following RED FLAGS or emergency signs and symptoms, you MUST IMMEDIATELY contact local emergency medical services (108 or 112 in India) or proceed directly to the nearest hospital emergency department:

  • Severe or persistent chest pain or pressure;
  • Sudden shortness of breath or difficulty breathing;
  • Severe allergic reactions (e.g., swelling of the lips, tongue, or throat, or difficulty swallowing);
  • Sudden weakness, numbness, or paralysis, especially on one side of the body;
  • Sudden confusion, trouble speaking, or difficulty understanding speech;
  • Sudden changes in vision or loss of vision;
  • Sudden severe headache with no known cause;
  • Loss of consciousness, fainting, or severe dizziness;
  • Severe persistent vomiting or uncontrollable abdominal pain;
  • Any other acute, severe, or life-threatening symptoms.

Do not rely on the Platform, Website, or the Care Team for urgent or emergency medical needs.

CATEGORICALLY, EMERGENCY MEDICAL SERVICES, AMBULANCE SERVICES, HOSPITALISATION, AND ANY ASSOCIATED EMERGENCY CARE COSTS ARE NOT PART OF THE INGOODHANDS PACKAGE OR SUBSCRIPTION.

InGoodHands shall not be responsible or liable for any costs, fees, expenses, or charges incurred by you for any such emergency medical services or any subsequent hospitalisation or medical treatment. All such costs are your sole responsibility.

Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India. Any dispute shall first be attempted to be resolved amicably for 30 days. If unresolved, it shall be settled by binding arbitration in Bengaluru under the Arbitration and Conciliation Act, 1996. Subject to arbitration, courts in Bengaluru, Karnataka shall have exclusive jurisdiction.

Miscellaneous

  • Force Majeure: Neither party shall be liable for delays or failures due to acts of God, pandemics, war, or other events beyond reasonable control.
  • Notices: Notices shall be given via email or website posting.
